PROPOSED COMMERCIAL TERMS

SAW Supplier & Dropship Agreement

Draft for discussion and attorney review. Version 1.0 · September 2026. This page is not legal advice and is not a binding offer.

1. Relationship

Supplier appoints Survival Adventure Werks (SAW) as a nonexclusive authorized online reseller for products SAW accepts in writing. Neither an application nor a listing request obligates SAW to approve, list, promote or purchase any product.

2. SAW control

SAW retains sole discretion over product selection, placement, merchandising, promotion and removal. SAW may establish retail pricing unless a lawful written minimum-advertised-price policy applies. Supplier may not describe itself as endorsed, tested or approved by SAW without written permission.

3. Wholesale pricing

Supplier will provide written wholesale, dropship, handling and shipping charges before a listing goes live. Supplier will give at least 30 days’ written notice before a price increase and will honor accepted orders at the price transmitted with the order.

4. Inventory and product data

Supplier will provide accurate inventory, specifications, compatibility, warnings, images, replacement parts and discontinuation information. Supplier is responsible for the accuracy and legality of all claims it supplies.

5. Direct fulfillment

Supplier will acknowledge orders within one business day, ship within the agreed service window, use trackable service and promptly transmit tracking to SAW. Packaging and packing slips must be neutral or SAW-approved. Supplier may not insert competing offers or solicit SAW customers.

6. Delivery and shortages

Supplier bears responsibility for inventory errors, mis-shipments, insufficient packaging and delivery promises it accepted. Supplier must immediately report shortages or delays so SAW can notify the customer and offer a lawful remedy.

7. Returns and warranty

Supplier will accept and pay return costs for defective, recalled, damaged, counterfeit, misrepresented or incorrectly shipped products. Supplier will honor its published warranty and provide a written process for ordinary returns before activation.

8. Refunds and chargebacks

Supplier will reimburse SAW for refunds, chargebacks, penalties and reasonable customer-resolution costs caused by supplier delay, nonshipment, defect, misrepresentation, recall, warranty failure or fulfillment error.

9. Compliance and insurance

Supplier warrants that products, labeling, instructions, certifications and sales comply with applicable law. Supplier will maintain appropriate commercial general and product-liability insurance and provide evidence when requested.

10. Indemnification

Supplier will defend, indemnify and hold harmless SAW and its owners, personnel and affiliates from claims arising from supplier products, supplied content, intellectual-property infringement, regulatory violations, recalls, injuries or fulfillment failures, except to the extent caused by SAW’s proven misconduct.

11. Brand and content license

Supplier grants SAW a nonexclusive, royalty-free license during the relationship to use approved names, marks, photographs and product information to market and sell accepted products. Supplier warrants it has authority to grant that license.

12. Customer data

Customer information may be used only to fulfill the applicable SAW order, provide authorized warranty service and meet legal duties. Supplier may not market to, resell, profile or retain SAW customer data beyond those purposes.

13. Confidentiality

Wholesale pricing, nonpublic sales information, customer information, business plans and integration details are confidential and may not be disclosed except as required to perform the agreement or by law.

14. Records and audit

Supplier will retain order, shipment, return and warranty records for at least three years and provide reasonable documentation needed to reconcile orders, complaints, recalls and amounts owed.

15. Termination

SAW may suspend listings or terminate for convenience on written notice and immediately for safety, legal, reputational, customer-service or performance concerns. Supplier remains responsible for accepted orders, returns, warranties, recalls and accrued obligations after termination.

16. Final agreement

These proposed terms guide SAW’s review. No seller relationship is created until both parties sign a final agreement identifying accepted products, pricing, fulfillment standards, returns, insurance requirements and governing law. SAW may revise these terms before countersignature.
